Autonomy Corporation plc - Investment by Co-Founders

Cambridge, England - 29 November 2005 - Autonomy Corporation plc (LSE: AU. or AU.L), a global leader in infrastructure software, today announces that Autonomy’s co-founders Dr Michael Lynch, group Chief Executive Officer, and Richard Gaunt, Technical Director, have each committed to significant new investment in Autonomy. As part of the Rights Issue, Dr Lynch today subscribed for 3,021,766 Autonomy Rights Issue Shares and Mr Gaunt subscribed for 318,861 Rights Issue Shares.

The following disclosure is in accordance with section 324 of the Companies Act and Disclosure Rule 3.1.2R: On 28 November 2005 Autonomy was duly notified that Dr Lynch had sold 6,388,999 of his Nil Paid Rights at 90p per Nil Paid Right. On 28 November 2005 Autonomy was duly notified that Mr Gaunt had sold 909,259 of his Nil Paid Rights at 90p per Nil Paid Right.

On 29 November 2005 Autonomy was duly notified that Dr Lynch invested £2,000,000 in Autonomy Rights Issue Shares, together with the proceeds of the sale of his Nil Paid Rights, for an aggregate investment in 3,021,766 Autonomy Rights Issue Shares. Also on 29 November 2005 Autonomy was duly notified that Mr Gaunt had invested the proceeds of the sale of his Nil Paid Rights in 318,861 Autonomy Rights Issue Shares.

Following the take up of their rights Dr Lynch and Mr Gaunt will have the following interests:
