Autonomy Corporation PLC Results of EGM Regarding Acquisition of Verity and Rights Issue

Cambridge, England - 25 November 2005 - Autonomy Corporation plc (LSE: AU. or AU.L), a global leader in infrastructure software, today announces that at the Extraordinary General Meeting of Autonomy held earlier today shareholders passed the ordinary resolutions necessary to approve the acquisition of Verity, Inc. and the authorisation of the Directors to allot the Rights Issue Shares forming a portion of the consideration for the acquisition. All resolutions passed with in excess of 99% of shares voting having voted in favour of the resolutions.

Subject to satisfaction or waiver of the remaining conditions of the Acquisition, it is anticipated that completion of the Acquisition will take place on or before 12 January 2006.
