RESULTS OF EGM RELATING TO ACQUISITION OF ETALK CORPORATION

2 June 2005 - Autonomy Corporation plc ("Autonomy") announces that at the Extraordinary General Meeting of Autonomy held earlier today shareholders passed the ordinary resolutions necessary to approve the acquisition of etalk Corporation (the "Acquisition") as detailed in the circular to Autonomy shareholders dated 18 May 2005.

Subject to satisfaction or waiver of the remaining conditions of the Acquisition, it is anticipated that completion of the Acquisition will take place on or before 6 June 2005.

Autonomy has made application to the UK Listing Authority ("UKLA") and the London Stock Exchange ("LSE") for the admission of 10,755,890 ordinary shares of Autonomy to the Official List and to trading on the LSE's market for listed securities. These applications have been made in respect of Autonomy ordinary shares to be issued to etalk stockholders as partial consideration for the Acquisition. It is expected that admission to listing of these ordinary shares will take place on or before 6 June 2005.
