Verity Promotes Robert A. Roepke to Vice President of Corporate Financial Planning and Analysis

Executive Expands Financial Management Role

SUNNYVALE, Calif - 2004-08-16 - Verity Inc. (NASDAQ: VRTY), a leading provider of enterprise software that enables organizations to maximize the return on their intellectual capital investment, today announced the promotion of Robert A. Roepke to vice president of corporate financial planning and analysis.

In his new position, Roepke will continue to report to Steven R. Springsteel, senior vice president of finance and administration and chief financial officer. Roepke's financial management responsibilities at Verity will now focus on the company's financial planning and analysis, treasury activities, and operational support of the company's functional areas, as well as assisting in the investigation and analysis of new business initiatives. In addition, he will continue to assist in the company's accounting, compliance and revenue reporting activities.

"Bob's promotion is both a recognition of his contributions to the company and a reflection of Verity's continued success," Springsteel said. "He has played an important role in both the growth of Verity and in developing and directing financial management processes that help manage the company's progress."

Roepke joined Verity in 2001 as its director of finance, dealing with financial forecasting, compliance, staff development and assisting in the company's accounting matters and investor relations activities. Prior to Verity, he was director of finance at Sendmail Inc., a privately-held developer of Internet messaging software. Before that Roepke served as director of financial planning and analysis and business operations for PDI/Dreamworks, a computer animation production company. He also was a vice president in Paine Webber's investment banking technology group. Roepke began his professional career as an industrial engineer for United Parcel Service.

A resident of Burlingame, California, Roepke holds a BS in industrial engineering from Lehigh University and an MBA in finance from the Anderson School at UCLA.
