ZANTAZĀ® Acquires Email Management Software Pioneer EDUCOM TS INC., Further Advancing Market Leadership and Global Reach

Leaders Join to Deliver End-to-End, Hosted and Onsite E-Communications Management Solutions for Compliance, Electronic Discovery and Email Management

PLEASANTON, CA and OTTAWA, CANADA (February 18, 2004) - ZANTAZ, Inc., the leader in compliance and electronic discovery solutions, today announced that it has acquired EDUCOM TS Inc., an industry leader in the development of software solutions for the management of corporate email. The acquisition brings together the market leader for hosted compliance and discovery solutions and the industry's best-of-breed solution for onsite email archiving and management, to create the only single-source provider of end-to-end e-communications management solutions for compliance, electronic discovery and email storage management. Financial terms of the acquisition were not disclosed.

Steve King, President and CEO of ZANTAZ, Inc., said, "Electronic communications are among the most strategic-and scrutinized-assets in any organization. ZANTAZ has led the market in providing innovative solutions to help organizations manage e communications, such as email, to meet compliance and legal requirements. The addition of EDUCOM significantly extends our ability to meet the full range of needs of our customers by providing both hosted and onsite e-communications solutions for compliance, discovery and email management."

"Additionally, with EDUCOM's established network of approximately 70 distributors and resellers worldwide, we are now positioned to expand into international markets with end-to-end, market-proven solutions that offer the highest quality, performance and reliability available today," continued King. "We believe EDUCOM's best-of-breed products, global distribution network, and broad customer base will add significant value to ZANTAZ as we continue to build on our momentum."

Organizations worldwide that rely on Microsoft Corporation's Microsoft Exchange ServerĀ® as a strategic business tool use EDUCOM technology for intelligent management of email storage. EDUCOM's flagship product, Exchange Archive Solution (EASā„¢), provides organizations with a better way to manage email records across geographically dispersed locations. EAS provides centrally managed and administered control of email policies while still allowing for regional dependencies and administration of messages. By moving email storage outside the Microsoft Exchange environment, companies can realize storage savings as high as 80%. Backup and recovery time is also shortened, as is migration to newer versions of Microsoft Exchange.

With EAS, ZANTAZ delivers customers an onsite solution that meets the full range of email retention requirements, significantly reduces email server load, secures intellectual property, and empowers end-users to easily access, retrieve and restore email regardless of their geographic location. The extensible EAS architecture also provides a platform for the long-term management of other electronic documents and correspondence such as electronic files, faxes and instant messages.

Andrew Moffat, President of EDUCOM, said, "We are thrilled to join an industry leader like ZANTAZ. EDUCOM and ZANTAZ share the same vision, focus and commitment, and together we will provide the broadest range of world-class solutions that help customers effectively meet today's e-communications management requirements. ZANTAZ is the pioneer in this market. Its significant investments in product development and delivery, its leadership position in the marketplace, and its overall financial strength will help the EAS family of products attain their full market potential. The combination of ZANTAZ and EDUCOM signifies an extraordinary opportunity for our customer base, distributors, resellers, partners and employees."

"The combination of ZANTAZ' hosted solution and EDUCOM's onsite offering strengthens ZANTAZ' leadership position in the marketplace," said Peter Gerr, Research Analyst, Enterprise Storage Group. "By offering a deployment neutral solution, this acquisition enables ZANTAZ to better meet the wide-ranging needs of customers in terms of regulatory compliance, email archiving, message management and legal discovery. The acquisition also extends ZANTAZ' reach well beyond the industries and geographies it currently serves."

EDUCOM's innovative technology and staff expertise accelerates the development and delivery of ZANTAZ' end-to-end e-communications management solutions across a broad set of industries, including financial, legal, healthcare, pharmaceuticals, utilities, manufacturing and government. The acquisition also positions ZANTAZ for rapid expansion into new international markets such as Europe, Australia, Asia, South Africa, Latin and South America, and the Middle East.

Conference Call & WebcastZANTAZ President and CEO Steve King and EDUCOM CEO Andrew Moffat will discuss the acquisition on a conference call and webcast for analysts and the news media at 11:00 am EST, today. The call will be webcast with supporting slides. To register for the webcast, please Click Here.
