Autonomy Appoints Mark Opzoomer and Sushovan Hussain To Board Of Directors

SAN FRANCISCO, Calif. - June 4, 2003 - Autonomy Corporation plc (Nasdaq: AUTN; LSE: AU., Nasdaq Europe: AUTN), a global leader in infrastructure software for the enterprise, today announced the appointment of two new members to its board of directors and a new chairman to its audit committee.

Mark Opzoomer, European managing director and regional vice-president of Yahoo!, joins the board as a non-executive director and will serve as Chairman of Autonomy's Audit Committee.Sushovan Hussain, Chief Financial Officer of Autonomy Corporation plc since June 2001, joins the Board as an executive director. Both appointments are effective as from 1 June 2003.

"Mark brings strong business management experience from the media and information industry as well as a significant knowledge of US and UK financial reporting and compliance. The combination of their experience and knowledge will make them valuable assets as Autonomy continues to grow and penetrate new markets with its infrastructure software."

Mr. Opzoomer has more than twenty years of experience in business and finance. Since July 2001, he has served as European managing director & regional vice-president of Yahoo!. Prior to joining Yahoo!, from 1994 through 1999, Mr. Opzoomer was deputy chief executive of Hodder Headline PLC, an international consumer and educational book publishing company listed on the London Stock Exchange. From 1988 through 1993, Mr. Opzoomer served in various positions with the Virgin Group, including commercial director of Virgin Communications. In 1991, Virgin Mastertronic Group was sold to Sega Enterprises, where Mr. Opzoomer was Commercial and Finance Director until 1994.

Mr. Opzoomer holds an MBA from IMD, Lausanne, Switzerland, and earned a Bachelor of Commerce, Honors, from Queen's University, Ontario, Canada. Mr. Opzoomer also completed in 1995 the London and Wharton Business Schools Directors Forum, a program for public company directors. Mr. Opzoomer qualified as a chartered accountant with PwC (Coopers & Lybrand) in 1981, where he spent 7 years in audit and then business investigation services.

Mr. Hussain has served as Autonomy's chief financial officer since June 2001. Prior to joining Autonomy, Mr. Hussain worked for LASMO plc, one of the world's largest independent oil and gas exploration companies which was acquired by Eni in early 2001, where he held a number of senior international financial positions, including three years in the corporate development department, charged with acquisition and divestments.

Mr. Hussain received his BA in Economics from Cambridge University, England, and qualified as a chartered accountant with Ernst & Young in London.

The Company confirms that it is not aware of any details requiring disclosure under Listing Rule 16.4 in respect of the appointment of Mark Opzoomer and Sushovan Hussain.
