Autonomy Announces Public Offering of 2,200,000 Ordinary Shares

CAMBRIDGE, England, 8 May 2000 - Autonomy Corporation plc (NASDAQ: AUTN; EASDAQ: AUTN) today announced the public offering of 2,200,000 of its ordinary shares (in the form of shares or American Depository Shares) at a price of $124.00 per share or ADS. Of these shares, 880,000 were offered by Autonomy and 1,320,000 were offered on behalf of selling shareholders. Autonomy's ordinary shares are traded on EASDAQ, and its American Depository Shares will be traded on The Nasdaq National Market, under the symbol AUTN.

In connection with the offering, Autonomy and one of the selling shareholders have granted the underwriters a 30-day option to purchase up to 330,000 additional shares, in the form of shares or ADSs, on the same terms and conditions as those shares and ADSs sold in the offering.

This press release shall not constitute an offer to sell or a solicitation of an offer to buy the offered shares, nor shall there be any sale of the offered shares in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such jurisdiction. The offering will be made only by means of a prospectus.
