Cardiff Software Acquires Adobe Spin-off AudienceOne, Inc.

Cardiff delivers unique eReply capability that turns automated business transactions into instant personalized interactions, over the Internet and through print-on-demand systems

Boston - 2000-02-08 - At the Seybold conference today, Cardiff Software, Inc., a leader in developing eTransaction products for businesses, announced it has acquired AudienceOne, Inc., a 1998 spin-off of Adobe Systems, Incorporated (Nasdaq: ADBE). AudienceOne is a leading supplier of products that enable companies to create and deliver high-quality, personalized documents over the Web and through print-on-demand systems. AudienceOne™ brings to Cardiff a roster of blue chip customers, including Aon Corporation (NYSE: AOC), Nortel Networks (NYSE/TSE: NT), and Lexmark International (NYSE: LXK).

Cardiff Software's market-leading eTransaction products are used by Global 2000 organizations to automate the processing of online transactions, and to onramp forms and documents into database and eBusiness applications. With AudienceOne, businesses can now use incoming transactions and processing rules to automate out-going customer interactions, while maintaining the quality and personalization of the response documents. Applications of AudienceOne include the dynamic creation of personalized 401K, healthcare and premier customer enrollment kits, one-to-one marketing and sales collateral, and customer self-service. Personalized special offer coupons, receipts and certificates can also be created with a unique barcode to identify the exact origin of the offer. The resulting product, PDF+Forms™, has won consecutive "Best of Comdex" awards at the Spring and Fall 1999 events, was named "1999 Product of the Year" by Document & Imaging Magazine, and has been adopted by Global 2000 and government organizations to replace manual paper forms with automated online eForm Warehouses™.

Under the terms of the acquisition, Cardiff Software has acquired all of the outstanding capital stock of AudienceOne through a purchase transaction, using a combination of stock and cash. Cardiff will retain all of AudienceOne's personnel, products, brands and offices. Cardiff will continue to develop and sell the AudienceOne Publisher and AudienceOne Press products, and will add personalized eReply capabilities into Cardiff's eTransaction product family.
